General terms and conditions

1. Definitions

Hi, we are Sodexo Pass Bulgaria and you are our customer. After you create your customer account, you can start purchasing the goods and services offered in our e-store.

In the application of this Confidentiality Policy, the following terms and expressions shall have the meaning below:

  • Sodexo Pass – SODEXO PASS BULGARIA EOOD, having its headquarters and registered office at 1 Business Park Sofia Str., Building 12, 1st Floor, Mladost-4 Residential Area, Sofia, entered in the Companies Register kept by the Registry Agency under Company ID Code 131085380; VAT Number: BG131085380; Identification number in the Electronic Register of Data Controllers kept by PDPC: 116357;
  • SportPass.bg – e-store owned by Sodexo Pass available online at https://sportpass.bg where customers can sign sales and delivery contracts for the goods and services offered by the e-store;
  • customer – any person who has registered under these Terms and Conditions and has an active customer account to use the e-store;
  • customer account – a unique customer account created upon completion of the registration process and available in the database of the e-store for the use of SportPass.bg, accessible by entering a username and a password;
  • order – any request sent to Sodexo Pass by a customer for the purchase of goods (personalized cards giving access to sporting activities) and/or services (packages for recharging the cards with visits) from the e-store.

2. Registration. Application.

You accept these Terms and Conditions upon your registration and agree to abide by them as our customer. Customers under the age of 18 need the consent of their parents in the registration process.

These Terms and Conditions govern the relationship between Sodexo Pass and every registered customer of the e-store and are available on our website General Terms and Conditions.

In order to use the e-store, the customer must create a customer account by filling out the electronic registration form.

By checking the relevant checkbox upon completion of the registration process every new customer declares that he is familiar with these General Terms and Conditions, agrees with their contents and undertakes to observe them every time the customer uses the e-store for as long as his customer account is active. In addition to the provisions of this document, the customer shall also be bound by the Confidentiality Policy and the Cookies Policy.

In the event that the customer is a minor, by checking the relevant checkbox for the acceptance of these General Terms and Conditions and completion of the registration process such customer declares the consent of his parents or guardians for the acceptance of these General Terms and Conditions. In the event that the customer is a minor, the statement of acceptance of these General Terms and Conditions and of registering shall be made by the parent or guardian.

Accepting the General Terms and Conditions by checking the relevant checkbox and sending the registration form by pressing the relevant button, as well as confirming an order, represent electronic statements within the meaning of the Electronic Document and Electronic Signature Act and shall result in the signing of a contract(s) by and between Sodexo Pass and the relevant customer.

Upon registration and further updating, the customer, his parent or guardian, as the case may be, declares that the provided data is accurate, true and complete.

Sodexo Pass confirms that the registration is completed by sending a message to the e-mail specified in the electronic registration form containing information on how to activate the customer account.

The email specified in the electronic registration form, or subsequently updated, as the case may be, will be used by Sodexo Pass to contact the customer and all the messages sent thereto will be deemed received when received at the customer’s email without the need for any explicit confirmation in this regard.

3. Rights and obligations of the customer

Please give us only correct data and use our e-store according to its purpose. Your user account as well as your card for visits are personal and you may not share them with any third party.

The customer is obliged to use the service in good faith, as intended, for personal and non-commercial purposes. Any worker/employee who has received a promo code from his/her employer does not have the right to indicate a third party as holder of a customer account and/or as holder of a “main” card.

The customer shall not take any actions which may lead to any violation of the security of the e-store and/or may hinder the access of any third parties to thereto.

The customer shall not grant access to his customer account to any third party. The customer must keep the username and password of his customer account. Should any third party get access to them, the customer must immediately inform Sodexo Pass. Sodexo Pass accepts every identification using the username and password of the customer as access carried out by the customer.

In the event of any change in the customer’s identification details provided upon registration, the customer must update them in a timely manner and meeting the requirement that they should be accurate, true and complete.

The customer may not grant the personalized card issued thereto to any third party. Should the customer lose his personalized card, he shall immediately notify Sodexo Pass. All purchased packages are associated with the customer account of the customer and may be used until exhausted upon request for the issuance of a new personalized card.

4. Rights and obligations of Sodexo Pass

We do our best to keep our e-store constantly accessible, but, if necessary, its functionality and access may be temporarily limited. We will use your e-mail to send you any service-related notices.

If necessary and with a view to the preservation and improvement of the quality and security of the service, Sodexo Pass may temporarily (planned or accidentally) restrict access to the service.

If necessary, Sodexo Pass has the right to temporarily or permanently restrict or change the functionality of the service, and efforts will be made for the customers to be notified in good time.

Upon completion of the registration process and upon acceptance of these General Terms and Conditions, the customer agrees to obtain from Sodexo Pass monthly newsletters and any system, promotional, and other service-related messages.

5. Order

The specific conditions of each order, such as price and time of delivery, will be provided to you upon completion of your request.

Sodexo Pass has the right to change the range, description and prices of the goods and services offered in the e-store, as well as the prices and the delivery and payment methods. Each order shall be implemented within such period of time, for such a price and under such other terms and conditions as expressly specified to the customer prior to the finalization of the relevant request. These conditions shall be binding upon Sodexo Pass only within the relevant order, which is being finalized, and Sodexo Pass does not guarantee that in the future the customer will be able to purchase any goods or services under the same conditions.

Sodexo Pass confirms that the order is accepted by sending a message to the e-mail address associated with the relevant customer account.

6. Delivery

The ordered goods will be delivered on the territory of Bulgaria at the address specified by you. We hope that no problems will arise upon delivery!
The ordered goods are delivered to the address indicated by the customer within the territory of the Republic of Bulgaria within such period of time, for such a price, and under such other terms and conditions as submitted to the customer before the finalization of the order.

The ordered goods shall be sent to the address specified by the customer in exchange for the signature of the customer or any third party who accepts them and confirms their receipt on behalf of the customer.
In the event that the customer is not found within the delivery period at the address specified by him or the customer has failed to provide conditions for the delivery of the goods, Sodexo Pass shall be discharged of its obligation to deliver the ordered goods. In the event that the customer expresses a desire to receive the goods after their delivery within the specified period has proved impossible due to the fault of the customer, the customer shall bear all the costs for such redelivery.

At the time of delivery the customer may refuse to receive the goods ordered thereby, when:

  • the delivered goods clearly do not correspond to the ones ordered by the customer and this can be established upon a regular examination;
  • the goods have been damaged during transport.

After receipt of the goods the customer has the right to request that they be returned, if later the customer finds any defects that could not be noticed upon a regular examination.

In such cases of reasonable refusal to receive the ordered goods, the customer may request from Sodexo Pass to replace the delivered goods by goods that correspond to what has been agreed or recover the amount paid by the customer.

In the event of an unreasonable refusal to receive the goods ordered by the customer, the customer shall pay to Sodexo Pass the delivery and return costs.

7. Consurmer rights

7-1. Customer right of withdrawal and terms of return of goods/services

The Consumer Protection Act provides individuals with the right to withdraw from the contract within 14 days under certain conditions.
A customer who is a consumer within the meaning of the Consumer Protection Act, has the right, without owing any compensation or penalty and without giving any reason, to withdraw from the contract for the purchase of goods and/or services provided by Sodexo Pass within fourteen (14) business days from the date of order of the service, or from the date of receipt of the goods ordered.

The customer may exercise this right by sending within the said period a written notice to Sodexo Pass by email to cancel the contract. In this case the customer is obliged to send or deliver the goods back to Sodexo Pass or to a person authorized by the company without undue delay and no later than fourteen (14) days from the date on which the customer has notified Sodexo Pass of customer’s decision to withdraw from the contract. The customer shall pay the direct cost incurred for the returning of the goods.

7-2. Terms of reimbursement of paid amounts

If you exercise your right of withdrawal we shall reimburse you for the amount you paid, and you shall cover the shipping costs and agree that we will deduct the cost of the services that have already been used by you.
Sodexo Pass is obliged to reimburse the customer in full for all the amounts paid by the customer, including the cost of delivery, without undue delay and no later than fourteen (14) days from the date on which Sodexo Pass was notified of the customer’s decision to exercise his right to withdraw from the contract, except in the following cases. By accepting these general terms and conditions the customer who is a consumer within the meaning of the Consumer Protection Act, declares, for the purposes of Art. 49 of the Consumer Protection Act, that it demands that Sodexo Pass start providing the services before expiry of the time within which the customer may exercise his right of withdrawal. In the event that the customer uses unhindered any services of a package with a number of visits before exercising his right of withdrawal from the contract, the cost of those services shall be deducted from the amount reimbursed by Sodexo Pass to the customer. When the package (subscription) is for any period of time, Sodexo Pass shall deduct from the amount reimbursed to the customer the pro rata cost of what was actually provided by the time of the exercise of customer’s right to withdraw from the contract. The customer is liable for the reduced value of the goods caused by testing them, other than what is necessary to establish their nature, characteristics, and good functioning.

Sodexo Pass is obliged to repay the amounts received from the customer, using the same payment instrument used by the customer in the original transaction, unless the customer has given his explicit consent to the use of any other method of payment, and provided that this is not related to any costs for the customer. Sodexo Pass is not obliged to refund the additional costs of delivery of the goods, when the customer has explicitly chosen any other method of delivery of the goods than the cheapest kind of standard delivery offered by Sodexo Pass.

In cases of inability to provide the goods and/or services requested by the customer, Sodexo Pass shall inform the customer about it as soon as possible, and in the event that the customer does not choose his order to be changed the amount paid by the customer shall be reimbursed in full using the same payment instrument used by the customer in the original transaction, unless the customer has given his explicit consent to the use of any other method of payment, and provided that this is not related to any costs for the customer.

8. Termination of the relationship between the parties

If you decide to close your account, you can contact us. Should you breach these Terms and Conditions, your account will be closed unilaterally by us.

The relationship between the parties may be terminated in the following cases:

  • upon request for voluntary closing of the customer account by the customer or upon withdrawal of the consent to personal data processing;
  • should the customer expressly state in writing that he does not accept any amendments and/or supplementations made to these General Terms and Conditions or the Condifentiality Policy;
  • for objective reasons, making the performance of the contract impossible;
  • unilaterally by Sodexo Pass, in the event that it is established that the customer uses the e-store and/or the services offered therein in violation of these General Terms and Conditions, Confidentiality Policy or Rules for the Use of the Sport Pass Program which are bounding upon the customer under this reference.

In the above mentioned cases the customer account of the customer shall be closed and all access thereto shall be suspended. In this case, the personalized card of the customer may be used until the purchased packages are exhausted, except in the event of unilateral termination by Sodexo Pass in the aforementioned hypotheses.

10. Limitation of liability

Our liability is within the limits provided for by the law.

Sodexo Pass shall not be liable within the full scope of limits provided for by the applicable law for any material or non-material damages, loses or lost profits suffered by the customer for example in the following non-exhaustive hypotheses:

  • upon customer’s failure to observe these General Terms and Conditions;
  • due to any technical problems as a result of the use of the e-store;
  • in case of temporarily restricted access to the e-store;
  • due to the presence or the lack of specific information provided on SportPass.bg;
  • in case of delivery for reasons beyond the control of Sodexo Pass
  • when the customer uses the e-store;
  • When the customer uses the goods and services offered by the e-store.

In any case, the maximum liability of Sodexo Pass shall be limited to the amounts paid by the customer for any goods and services.

Sodexo Pass and its partners and suppliers shall not be liable for affecting the rights of any third parties by customer’s actions upon the use of the e-store and/or the goods and services offered therein, in hypotheses including but not limited to any breach of these General Terms and Conditions.

11. Amendments to the general terms and conditions

Should these General Terms and Conditions need to be amended in a way that shall affect any of your rights, we will notify you in advance so you can decide whether you agree with them.

If necessary, Sodexo Pass has the right to unilaterally amend these General Terms and Conditions.

When making any substantial amendments and/or supplementations to these General Terms and Conditions Sodexo Pass shall notify the customers by giving them two weeks to get familiar with those amendments.

Within the said two-week period customers may state by an explicit written notice to Sodexo Pass that they do not accept the amendments and/or supplementations to the General Terms and Conditions. In such case, the customer account shall be closed and the relationship between the Parties shall be terminated.

Should the customer does not object explicitly within the aforesaid two-week period, it shall be deemed that the customer accepts the amendments and/or supplementations and that they now become effective in the relationship between the parties and are binding upon them.

Any amendment and/or supplementation to these General Terms and Conditions shall not affect the relationship between Sodexo Pass and the customer arising prior to such amendment and/or supplementation in connection with any validly requested and accepted orders.

12. Dispute resolution. Other provisions.

We hope that you will be satisfied with our services. Should you have any complaints, we expect you to contact us so we can help you with your problem.

In case of any unsatisfaction with the e-store or with any goods and/or services offered thereon, Sodexo Pass encourages customers to contact directly a representative of the company using one of the contact options below so that an attempt is made to resolve the issue informally. Should the customer does not want to use these means or is unsatisfied with the response of Sodexo Pass, the customer may refer the matter to the European Online Dispute Resolution Platform.

For any unsettled matters herein the general provisions of the Bulgarian laws and the relevant applicable international laws shall apply.

Invalidity of any provision of these General Terms and Conditions shall not result in the invalidity of all of the General Terms and Conditions.
